About the bylaws. <\/h3>\n\n\n\n<p>The name of the organization is \u201cthe BCC Federation\u201d. The BCC Federation Is a legal person incorporated pursuant to Norwegian association law, registered and resident in Norway. The BCC Federation is regulated by the \u201cConstitution for The BCC Federation\u201d (hereafter \u201cthe Constitution\u201d) and these bylaws. These bylaws are subordinated to the Constitution. Definitions in the Constitution apply equally to these bylaws.    <\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 2 \u2013 The activities of the BCC Federation<\/h3>\n\n\n\n<p>The BCC Federation\u2019s objectives follow from the Constitution article 1.2.C. By serving as the central organization for the members of the BCC Federation, the BCC Federation shall amongst others perform the following activities: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>facilitate the execution of the authority and the activities that pursuant to the Constitution or these bylaws are carried out by the Assembly of Representatives, the Elders, the Secretariat, the Nomination Committee and other committees, and<\/li>\n\n\n\n<li>take care of the Interests of the federation within areas such as finance, compliance, communication, IT, and internal audit as well as other central organization services, and<\/li>\n\n\n\n<li>be the employer of the members of the Elders, the Secretariat and others who are employed by these or in other committees, and<\/li>\n\n\n\n<li>receive income and loans and manage the funds in line with the budget resolutions of the Assembly of Representatives, and<\/li>\n\n\n\n<li>represent the BCC Federation externally<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading\">Article 3 \u2013 Membership application<\/h3>\n\n\n\n<p>The Secretariat determines requirements to applications for membership and to the applicant\u2019s bylaws and organization.<\/p>\n\n\n\n<p>The applicant must submit to the Secretariat:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>a complete application with attachments<\/li>\n\n\n\n<li>a copy of the resolution by a relevant decision-making body that demonstrates that the applicant acknowledges the Constitution and wants to apply for membership<\/li>\n<\/ul>\n\n\n\n<p>The Secretariat will present its assessment of the application and recommendation for decision to the Elders. The assessments and recommendations of the Elders and the Secretariat are then presented to the Assembly of Representatives. <\/p>\n\n\n\n<p>The Secretariat or the Elders can ask follow-up questions or request additional documentation or information from the applicant to be able to assess the application.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 4 \u2013 The Secretariat<\/h3>\n\n\n\n<h4 class=\"wp-block-heading\">Article 4.1 About the Secretariat<\/h4>\n\n\n\n<p>The authority of the Secretariat is outlined in article 3.4 of the Constitution<\/p>\n\n\n\n<p>The Secretariat is the board of the association.<\/p>\n\n\n\n<p>The members of the Secretariat are elected by the Assembly of Representatives. The main responsibilities of the Secretariat are the Assembly of Representatives meetings, finance and strategy, communication, compliance and IT.  <\/p>\n\n\n\n<p>The Secretariat determines its internal organization and division of responsibilities unless otherwise stated in the Constitution, these bylaws, instructions or resolutions by the Assembly of Representatives.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 4.2 The responsibilities of the Secretariat in relation to Assembly of Representatives meetings<\/h4>\n\n\n\n<p>4.2.1 The Secretariat shall ensure the execution of ordinary and extraordinary Assembly of Reresentatives meetings, including<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>convening the meeting and circulating the agenda<\/li>\n\n\n\n<li>preparation and circulation of case documents<\/li>\n\n\n\n<li>registration of representatives<\/li>\n\n\n\n<li>meeting management, voting, and preparation of minutes<\/li>\n\n\n\n<li>communication and necessary follow-up of the execution of the resolutions of the Assembly of Representatives<\/li>\n<\/ul>\n\n\n\n<p>4.2.2.\nSekretariatet skal s\u00f8rge for at alle saksdokumenter som legges fram for representantskapet er av forsvarlig kvalitet og belyser de n\u00f8dvendige \u00f8konomiske, juridiske og praktiske konsekvenser ved foresl\u00e5tte vedtak. <\/p>\n\n\n\n<p>4.2.3.\nSekretariatet skal s\u00f8rge for at forstanderskapets uttalelser blir innhentet og innarbeidet i saksdokumenter som fremlegges for representantskapet. <\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 4.3 Finances and business plans<\/h4>\n\n\n\n<p>4.3.1.\nSekretariatet skal utarbeide budsjett for BCC-forbundets inntekter til BCC-forbundet og dets fellestiltak. <\/p>\n\n\n\n<p>4.3.2.\nSekretariatet skal utarbeide budsjett for sin egen virksomhet og andre kostnader knyttet til representantskapets virksomhet og kostnader knyttet til inntekter nevnt i punkt 4.3.1. <\/p>\n\n\n\n<p>4.3.3.\nSekretariatet skal utarbeide planer for BCC-forbundets langsiktige \u00f8konomi og kapitalforvaltning. <\/p>\n\n\n\n<p>4.3.4.\nSekretariatet skal sette krav til prosess, format og kvalitet p\u00e5 budsjetter og virksomhetsplaner som skal fremlegges for representantskapet. <\/p>\n\n\n\n<p>4.3.5.\nSekretariatet skal samordne s\u00f8knader om bevilgninger og fremlegge et helhetlig forslag og anbefalinger knyttet til budsjetter og virksomhetsplaner for representantskapet <\/p>\n\n\n\n<p>4.3.6.\nSekretariatet skal kontrollere forvaltningen av \u00f8konomien ved forsvarlig \u00f8konomi- og likviditetskontroll i BCC-forbundet og BCC-forbundets fellestiltak. <\/p>\n\n\n\n<p>4.3.7.\nSekretariatet skal stille krav til prosess, format og kvalitet p\u00e5 rapportering p\u00e5 \u00f8konomiske og ikke\u00f8konomiske resultater til representantskapet, herunder evaluering av m\u00e5loppn\u00e5else. <\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 4.4 The common interests of the Federation<\/h4>\n\n\n\n<p>4.4.1.\nSekretariatet skal i samarbeid med forstanderskapet utarbeide strategier og m\u00e5lsettinger for BCC-forbundet. <\/p>\n\n\n\n<p>4.4.2.\nSekretariatet skal s\u00f8rge for n\u00f8dvendig koordinering av BCC-forbundets fellestiltak og komiteer. <\/p>\n\n\n\n<p>4.4.3.\nSekretariatet kan sette minstekrav til BCC-forbundets fellestiltak og komiteer p\u00e5 temaer som compliance og etiske retningslinjer, \u00f8konomi, IT og kommunikasjon n\u00e5r disse er begrunnet i forbundets felles interesser eller risikostyring. <\/p>\n\n\n\n<p>4.4.4.\nSekretariatet kan kontrollere om medlemsorganisasjoner og organer etterlever gjeldende lover eller sine forpliktelser overfor BCC-forbundet. <\/p>\n\n\n\n<p>4.4.5.\nSekretariatet skal ta en upartisk og utredende rolle, samt ha ansvar for saksdokumenter, for omorganiseringsprosjekter innenfor forbundet som ber\u00f8rer flere enheter og som ikke p\u00e5 en betryggende m\u00e5te kan ivaretas alene av de ber\u00f8rte enhetene. <\/p>\n\n\n\n<p>4.4.6.\nSekretariatet skal bes\u00f8rge at aksjoner og felles l\u00f8ft i BCC-forbundet gis tilfredsstillende forankring, organisering, koordinering og eierskap.\nMed \u00abaksjoner og felles l\u00f8ft\u00bb menes her innsamlinger, prosjekter eller satsningsomr\u00e5der som p\u00e5virker hele eller store deler av virksomheten til BCC-forbundet og dets medlemmer.  <\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 5 \u2013 The Nomination Committee<\/h3>\n\n\n\n<h4 class=\"wp-block-heading\">Article 5.1 \u2013 Mandate<\/h4>\n\n\n\n<p>5.1.1 The Nomination Committee proposes candidates for positions, who are then elected by the Assembly of Representatives pursuant to the Constitution, these bylaws or other instructions or resolutions by the Assembly of Representatives.<\/p>\n\n\n\n<p>5.1.2.\nValgkomiteens innstilling er r\u00e5dgivende.\nRepresentantskapet st\u00e5r fritt til \u00e5 velge andre kandidater.  <\/p>\n\n\n\n<p>5.1.3.\nValgkomiteen best\u00e5r av 3-5 medlemmer som velges p\u00e5 \u00e5rem\u00e5l for 2 \u00e5r av gangen, men likevel ikke slik at alle medlemmenes \u00e5rem\u00e5l utl\u00f8per samtidig.\nKomiteens medlemmer kan st\u00e5 til gjenvalg.\nRepresentantskapet velger medlemmene til valgkomiteen, samt leder for valgkomiteen etter forslag fra valgkomiteen selv.   <\/p>\n\n\n\n<p>5.1.4 The Nomination Committee adopts resolutions through a simple majority. In case of an equal number of votes, the vote of the leader counts as two votes.5.1.2. The Nomination Committee\u2019s proposals are advisory. The Assembly of Representatives may freely elect other candidates. <\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 5.2 \u2013 Instructions for the Nomination Committee<\/h4>\n\n\n\n<p>The Assembly of Representatives determines t detailed guidelines for the Nomination Committee through instructions.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 6 \u2013 Finances and accounting<\/h3>\n\n\n\n<h4 class=\"wp-block-heading\">Article 6.1 \u2013 The assets of the BCC Federation<\/h4>\n\n\n\n<p>The assets of the BCC Federation shall be kept separate from other assets and cannot be used by anyone without authority from the Assembly of Representatives or the Secretariat.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 6.2 \u2013 Donations and volunteer work<\/h4>\n\n\n\n<p>Monetary donations and other services to the BCC Federation, including unpaid and volunteer work, do not give any rights to the assets of the BCC Federation or other claims for reciprocal benefits. Any services or donations to the BCC Federation are considered final at the moment of the transfer and cannot be taken back without legal basis. <\/p>\n\n\n\n<p>The Secretariat may determine to reject a monetary donation or other benefit or service if there are conditions attached that the Secretariat do not find justifiable or financially sound to accept.<\/p>\n\n\n\n<h4 class=\"wp-block-heading\">Article 6.3 \u2013 Accounts and auditing<\/h4>\n\n\n\n<p>The BCC Federation shall prepare accounts in English and Norwegian pursuant to the Norwegian Accounting Standards Board\u2019s (NASB) General Accounting Principles for non-profits, as applicable.<\/p>\n\n\n\n<p>The accounts shall follow the calendar year and be completed within three months from year-end. The accounts shall be archived for the period of time required by law. <\/p>\n\n\n\n<p>The BCC Federation\u2019s accounts shall be audited by a certified public auditor.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 7 \u2013 Conflict of interest<\/h3>\n\n\n\n<p>A person with a position in a body in the BCC Federation, or an employee of the BCC Federation, is disqualified to prepare the basis for a resolution or partake in the decision making:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>when that person is a party in the case, or<\/li>\n\n\n\n<li>when that person is related to or related by marriage to a person being party in the case, in a straight ascending or descending line or horizontally as close as siblings, or<\/li>\n\n\n\n<li>when that person is or has been married to or engaged to a person being a party in the case.<\/li>\n<\/ol>\n\n\n\n<p>Equally, a person is disqualified when other circumstances exist which may weaken confidence in the impartiality of that person; amongst others, it should be considered if the resolution in the case can provide a special benefit, loss or disadvantage to that person or someone that person has personal relations with.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\">Article 8 \u2013 Amendments to these bylaws<\/h3>\n\n\n\n<p>The Assembly of Representatives may amend these bylaws if the resolution is supported by at least 2\/3 of the votes.
